1) Acceptance of Terms

By purchasing, accessing, or using IMP’s services (website, checkout, live sessions, community, replays, downloads), you agree to these Terms of Service and our Privacy Policy.

If you do not agree, do not enroll or access the services.


2) Eligibility

You must be at least 18, or the age of majority in your jurisdiction. If 13–17, you may participate only with verifiable parental/guardian consent and supervision.

You represent that you have the authority to enter into this agreement.


3) Program Description

IMP is a 6-week cohort-based learning experience for music producers, delivered via live workshops, community interaction, and on‑demand materials.

We may modify curriculum, instructors, dates, or features for quality, availability, or compliance reasons.


4) Accounts and Access

You agree to provide accurate information and keep credentials secure. You are responsible for activity under your account.

Access is personal and non-transferable. Seat sharing or re-selling is prohibited.


5) Payments, Pricing, and Taxes

Prices are listed in U.S Currency. Applicable taxes may be added at checkout.

Payment is processed by third-party providers (e.g., Stripe). We do not store full card numbers.

If you select a payment plan, you authorize scheduled charges. Late or failed payments may pause or terminate access until resolved. You remain responsible for unpaid amounts.


6) Refunds and Cancellations

Risk-free Week 1: Full refund available through the end of Week 1 of the cohort. To request, email [[email protected]] before [Day/EST] that marks the end of Week 1.

After Week 1, all fees are non-refundable. If you are on a payment plan and cancel after Week 1, remaining installments are still due.
If IMP cancels the entire cohort before it begins, you will receive a full refund. If IMP terminates mid‑cohort for reasons not caused by you, we will provide a fair pro‑rata refund or equivalent credit, at our discretion.


7) Schedule, Replays, and Availability

Live sessions are scheduled for [Day/Time, Time Zone] and may be recorded. Replays are typically posted within 24 hours but availability is not guaranteed for all sessions (e.g., due to technical issues).

IMP may reschedule sessions upon reasonable notice. Time zone conversions are your responsibility.


8) Educational Use Only; No Professional Advice

Content is for educational purposes and general guidance. IMP does not provide legal, financial, medical, or other professional advice. Results vary and are not guaranteed (e.g., releases, placements, revenue).


9) Community Guidelines and Conduct

Treat peers and instructors with respect. Harassment, hate speech, illegal activity, or sharing others’ private information is prohibited.

Do not post harmful code, spam, or infringing content. Follow the code of conduct pinned in the community.

IMP may remove content or suspend/terminate access for violations without refund beyond the Week 1 policy.


10) Intellectual Property; License to You

IMP Materials: All course content, slides, templates, videos, text, graphics, and trademarks are owned by IMP or its licensors and are protected by law.

License: We grant you a limited, non-exclusive, non-transferable license to access and use IMP materials for your personal, non-commercial learning during the cohort and, where stated, afterward. No resale, redistribution, or public posting of paid materials without written permission.

Your Music: You own 100% of your compositions, recordings, and project files you create.


11) User Content and Feedback

You are responsible for User Content (posts, WIPs, messages). You represent you have rights to share it and that it does not infringe others’ rights.

License you grant to IMP: Solely to operate and improve the program (hosting replays, enabling community, showcasing cohort outcomes), you grant IMP a non-exclusive, worldwide license to host, display, and reproduce User Content within the cohort spaces. Public marketing use requires your express consent.

Feedback you voluntarily provide may be used by IMP without obligation to you.


12) Third-Party Services

We use third-party providers to deliver parts of the program (e.g., payment processors, video-conferencing, community platforms, analytics, email).

Your use of those services may be subject to their own terms and privacy policies. We are not responsible for their acts or omissions.

We may change providers at any time to maintain quality, compliance, or availability.


13) Recordings, Likeness, and Consent

Live sessions may be recorded. Replays are accessible to enrolled learners.

By participating with your camera/mic on or posting in community spaces, you consent to being recorded and to the display of your name, voice, and submitted content within the cohort environment.

We will request your consent before using your likeness or work in public marketing. You can participate with camera off and pseudonym if you prefer.

14) Intellectual Property Claims and Notices (including DMCA where applicable)

If you believe content infringes your rights, send a notice to [DMCA/IP Agent IMP], [Ypsilanti], [email protected], with:
• Your contact details
• Identification of the copyrighted work or other right
• Identification of the allegedly infringing material and its location
• A statement of good-faith belief, and a statement under penalty of perjury that the information is accurate and you are authorized to act
• Your physical or electronic signature

We may remove or disable access to the material, notify the user, and, where applicable, accept a counter-notice. We may terminate access for repeat infringers.


15) Privacy

Our collection and use of personal data are described in our Privacy Policy: https://techbaby.ai/privacy.

By using the services, you acknowledge that your data will be processed as described there, including cookies where applicable and your choices/rights.


16) Prohibited Uses

You agree not to:
• Violate laws, intellectual property, or privacy rights
• Harass, threaten, or harm others; post hateful or illegal content
• Share or resell seats, credentials, or paid materials • Circumvent technical or access controls; scrape, spider, or harvest data
• Upload malicious code or disrupt the services
• Reverse engineer or attempt to derive source code (except where allowed by law)

We may suspend or terminate access for violations.


17) Disclaimers

Services and content are provided “as is” and “as available.”

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the services will be uninterrupted, secure, or error-free, or that outcomes (e.g., releases, revenue) are guaranteed.


18) Limitation of Liability

To the maximum extent permitted by law:
• We are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits/revenue/data. • Our total liability for any claim is limited to the amounts you paid to IMP for the program during the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations; in those cases, only the limitations lawful in that jurisdiction apply.

19) Indemnification

You agree to defend, indemnify, and hold harmless IMP and its affiliates, officers, directors, contractors, and agents from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
• Your content or conduct
• Your violation of these Terms
• Your violation of any rights of a third party or applicable law


20) Suspension and Termination

We may suspend or terminate your access (with or without notice) for violations, fraud, non-payment, risks to users or IMP, legal requests, or technical/security issues.

Upon termination, your right to use the services ends. Sections intended to survive (e.g., IP, payments, disclaimers, limitations, indemnity, dispute resolution) will survive.


21) Governing Law and Dispute Resolution - Governing law: MI/USA law, without regard to conflict-of-law rules.

Venue: Exclusive jurisdiction and venue in the courts of Washtenaw/MI/USA.

Arbitration clause
• Any dispute arising out of or relating to these Terms or the services will be resolved by binding arbitration administered by [Arbitration Provider] under its rules.
• No class or representative actions; disputes must be brought individually.
• Small-claims court option preserved where permitted.
• You may opt out of arbitration within 30 days of first accepting these Terms by emailing [[email protected]] with your name and account email.
• A court with jurisdiction may enter judgment on the award. Either party may seek injunctive relief for actual or threatened infringement, misappropriation, or breach of confidentiality.


22) Changes to Services or Terms

We may update these Terms or modify the services to improve quality, security, or compliance. Material changes will be communicated by email or prominent notice on our site, with the “Last updated” date revised.

Continued use after changes take effect constitutes acceptance of the updated Terms.


23) Miscellaneous

Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and IMP regarding the services and supersede prior agreements.

Severability: If any provision is unenforceable, the remainder remains in effect.

Assignment: You may not assign your rights; we may assign to an affiliate or in connection with a merger, acquisition, or asset sale.

Force majeure: We are not liable for delays or failures due to events beyond our reasonable control.

Notices: We may send notices to your account email or by posting on the site. You may send notices to [email protected].

No waiver: Failure to enforce a provision is not a waiver of the right to do so later.
